NNN & 1031 Concierge Property Digest- October 13, 2017

Good Afternoon from Florida!
Whatever Happened to the Walgreens/ Rite Aid Merger?
Back in October of 2015, Walgreens began their proposed buyout of competitor Rite Aid in a deal worth about $17 Billion.
Almost immediately all sorts of red flags were raised complaining about Anti-Trust violations as such a merger would have left just two major pharmacy chains in the US: Walgreens & CVS.
After two years of revisions, federal regulators have accepted Walgreens $4.4 Billion deal to buy 1,932 Rite Aid stores. Once the dust settles, that will leave Rite Aid with 2,600 stores.
The Rite Aid pharmacies that Walgreens plans to buy will eventually be rebranded as Walgreens stores

NNN & 1031 Concierge Property Digest- September 25, 2017

On this day in 1934, Lou Gehrig played in his 1,500th consecutive game.
Why Famous: American baseball first baseman who played 17 seasons in Major League Baseball for the New York Yankees (1923-1939).

A seven-time All-Star and six-time World Series champion, Gehrig won the Triple Crown in 1934 and was twice named the American League’s Most Valuable Player. Gehrig was the first MLB player to have his uniform number retired, and he was elected to the Baseball Hall of Fame in 1939.

Good Morning from Florida!
In this Week’s Digest you’ll see a handful of long term 20 year NNN leases, along with a number of drugstores as well as a collection of diversified Single Tenant Net Lease Properties.
Take a look at the 20 year remaining term properties on the top of this Week’s Property List. The highlighted properties illustrates a fundamental point when it comes to NNN investing. You’ll see the CVS is Georgia is priced at a 5.4% Cap Rate with a flat 20 year term.
Simply stated, this means that CVS will pay their Landlord 5.4% in rent for the next 20 years guaranteed by the full faith and credit of CVS corporate. 5.4% for 20 years. No more. No less.
The next highlighted properties also have a 20 year remaining term, but they all offer increases or “bumps” in their Cap Rates.
How come an IHOP or a Church’s Chicken offers investors annual increases on the same 20 year lease while CVS offers only a flat lease with no increases for the same length of the term?
CVS can offer a long term flat lease because of the strength of their creditworthiness. CVS carries an S&P rating of BBB+ and a Moody’s rating of Baa1.
Because IHOP & Church’s are not as strong a Credit, they have to offer a greater “reward” to offset their potentially greater credit risk.
Remember that in NNN investing, Pricing (ie Cap Rate) is simply determined by risk/reward. The more assumed risk requires a greater reward.
Items that determine risk are:
  • Credit worthiness of the tenant
  • Remaining Term
  • Industry
  • Location
  • Increases
The greater the actual or even the perceived risk will determine the ultimate pricing.

I escaped the wrath of Hurricane Irma with a pre-planned trip for my son Devan’s Wedding . It was Wonderful!
One of the 1031 Questions I frequently get relates to the “felaxibility” of the date driven portion of 1031 Real Estate Exchanges. Specifically, the 45 Day Indentification Period and the 180 Days to Close on the new Replacement Property.
As a Rule, the 1031 dates are set in stone.
However, as is the case with most rules there can be an exception or two:
If you are in the unfortunate situation of being affected by a PRESIDENTIALLY declared disaster, please contact your 1031 CORP. Exchange Officer immediately.  Under Revenue Procedure 2005-27, you may qualify for an extension to your 45-day identification and 180-day exchange period deadlines.  Extensions are not automatic and they do not apply to state or local states of emergency or all federal disasters.  IRS issues a Notice or News Release listing the affected areas.  A list of affected areas can be found on Tax Relief in Disaster Situation page on the IRS website
Extensions apply to reverse and delayed exchanges and provide the greater of either a 120 day extension or until the specific deadline date provided in the extension.
If you feel that your Exchange might qualify for “extra time”, it’s best to check with your first line of defense, your Qualified Intermedary.

The Woodstock Music & Art Fair-informally, the Woodstock Festival or simply Woodstock-was a music festival attracting an audience of over 400,000 people, scheduled over three days on a dairy farm in New York from August 15 to 17, 1969, but ultimately ran four days long, ending August 18, 1969.
Billed as “An Aquarian Exposition: 3 Days of Peace & Music”, it was held at Max Yasgur‘s 600-acre (240 ha; 0.94 sq mi) dairy farm in the Catskills near the hamlet of White Lake in the town of Bethel, NY.
During the sometimes rainy weekend, 32 acts performed outdoors before an audience of more than 400,000 people. It is widely regarded as a pivotal moment in popular music history, as well as the definitive nexus for the larger counterculture generation.

In addition to a handful of 20 year lease properties, you’ll note a handful of much shorter term drugstores  demonstrating the Risk/Reward of shorter term leases. The obvious “Risk” is what happens if the tenant doesn’t renew to be offset by a higher Cap Rate (“Reward”).
I’m also including a discussion of Joint Venture Development Opportunities. On the surface this sounds “scary”, but once you fully understand the concept, it becomes more of a mathematical equation. (not to say that Math can’t be scary!).

Today in 1965, The Rolling Stones released one of the all-time most popular rock tunes, “(I Can’t Get No) Satisfaction.” The song was first played only on pirate radio stations as its lyrics were considered too sexually suggestive but it was later embraced by radio stations and the world as one of the greatest songs of all time. “Satisfaction” was added to the National Recording Registry of the Library of Congress in 2006.
